PRIVACY POLICY

This Vydia Privacy Policy (“Privacy Policy”) describes how Vydia, Inc. (“Vydia,” “we,” “us,” or “our”), as the operator of the:

  • Website www.vydia.com and Vydia pages on social networks (“Website”),
  • Content management platform (“Dashboard”),
  • Mobile, iOS and Android applications branded “Vydia” (individually or collectively, “App”), and
  • Products and services we offer through the Dashboard and the App (individually or collectively, “Services”),

collects certain information when a visitor (“Visitor”) or a customer (“Registered User”) visits, accesses or uses the Website and the Services. “Services” also includes email or other correspondence or calls, from or about individuals, information about registrants or attendees at events, and information collected from or through other interactions with Vydia’s representatives. It also explains how we use and disclose the information we collect from Visitors and Registered Users, and their respective rights in relation to that information.

For the purpose of this document “individual” or “you” means a person who accesses the Website or the Services as a Visitor or a Registered User.

1. Information Collected from Visitors

A – Information Automatically Collected

When a Visitor visits the Website, or uses the App we automatically collect:

Log Data

  • Technical Information: type of device, operating system, browser type and version, computer and connection information,
  • Preferences and settings: time zone, language, and character size;
  • Identifiers: IP address;
  • Coarse geographic information: geographic location derived from the IP address;
  • Preferences and settings: time zone, language, and character size;
  • Whether the Individual experienced a crash;

Traffic Data

Data generated by the use of the Website or Services also include: (for EEA users, if the user has accepted profiling cookie)

  • Information about use of the Website or Services: date stamp, URL of the visited page, URL of the last webpage visited before visiting our Website or Services;
  • History of interaction with our webpages: pages viewed, time spent on a page, click through, clickstream data; queries made, search history, search results selected; comments made, type of service requested, purchases made.

You may choose whether to share or not your location details with us by adjusting your mobile device’s location services settings. For instructions on changing the relevant settings, please see the information provided by from your service provider or device manufacturer.

Note: Individuals located in the European Economic Area may have the right to prevent certain form of collection of personal information. See the Section “Cookies and other Technologies.”

B – Information Visitors Directly and Voluntarily Provide

If you are a Visitor, and wish to request additional information about the Services we offer, you will be invited to fill out a form to submit your request, we will collect the following information:

  • Name,
  • Creator Name(s) or Stage Name(s)
  • Company / organization
  • Company / organization website
  • The number of artists the organization manages
  • Phone number and
  • Email address.

C – Information You Post on the Public Area of the Website

If you post information on public areas of the Website or Services, such as on Vydia’s social media pages, that information may be collected and used by Vydia, other users of the Services, and the public. We strongly recommend that you do not post any information through the public areas of the Website that allows strangers to identify or locate you or that you otherwise do not want to share with the public.

D – Communication from Visitors

When a Visitor completes an online form, visits our Website or Services (for example on social media), or contacts us, by email, phone or text, we automatically collect and store certain information about that user and the user’s activities, as we receive from such user, for example:

  • Name and contact information;
  • Information that the Visitor provides to us;
  • Visitor’s company information, if any;
  • Nature of the communication;
  • Purpose of the interaction
  • Action we took in response to the inquiry or request;
  • Any action the Visitor takes upon receipt of such communication (for example, whether the user registers to attend an event that we offer, or request to receive documentation).

The information collected in connection with each type of interaction is retained so that we can continue interaction with the requestor with respect to our Website or Services.

E – Surveys and Contests

From time-to-time, we invite Visitors to participate in surveys or contests. Participation is voluntary. These surveys are organized for the purposes of our marketing efforts. When an individual participates, we request certain personal information such as name and email address.

This is necessary to ensure that responses are categorized properly and are not duplicated. Depending on the nature of the survey or contests, we also use this information to send the survey results to the participants, or, if applicable, to notify contest winners and award prizes.

We also use the information in aggregate form, for analytics purposes, to understand our market, to monitor site traffic or app usage, or to modify our offering to meet the needs or interests of visitors.

If we use a third-party service provider to conduct these surveys, the information collected by the service provider may be subject to both the service provider’s privacy policy and ours. We will provide information about the applicable privacy policies with the survey rules and will seek your explicit consent to these rules when required by law. You should read the terms of the survey or contest to understand the extent to which the service provider is allowed to use or reuse the information collected.

2. Information Collected from Registered Users

When a Registered User accesses the Services through the App, we automatically collect:

  • Whether the Individual experienced a crash;

  • Information about use: date stamp, other apps open on the device
  • History of interaction with our webpages: pages viewed, time spent on a page, click-through and clickstream data; queries made, search history, search results selected; comments made, type of service requested, purchases made; information about the Registered User’s use of the Services, including analytics relating to which parts of the Dashboard and App are being used, how they are used;

B – To Evaluate or Purchase the Service

If you wish to evaluate or purchase any of the Services we offer, including access to the Dashboard and the App, you will need to sign up to become a Registered User. As part of the registration process, you will be requested to provide the following information

  • Name,
  • Email address,
  • Phone number and
  • For payment processing purposes, mailing address.

C – To Use Third Party Platforms

If you are a Registered User, and you would like to use our content management services to manage your content on third party platforms and social media services (such as YouTube and Facebook) (“Third Party Platforms”), you will need to authorize the Third Party Platform to grant us access to:

  • Your account on the Third-Party Platform; for clarity, this includes:
    • Content you have uploaded
    • Content your will upload to that account; and
    • All associated metadata, performance data, metrics and insights related to that content
  • Profile data you make available to the Third Party Platform
  • Profile data that the Third Party Platform provides to us with your consent, in accordance with the settings that you chose on that Third Party Platform, such as the email address you have on file with the Third Party Platform
  • An access token that allows us to request information about your account on the applicable Third Party Platform.

The authorization will also include the ability for Vydia to post to your account on the Third Party Platform at your direction.

D – Information You Post on the Services.

If you post information on public areas of the Services that information may be collected and used by Vydia, other users of the Services, and the public. We strongly recommend that you do not post any information through the Services that allows strangers to identify or locate you or that you otherwise do not want to share with the public.

E – Payment Information

To Make Payments

If you are a Registered User, you may purchase Services we offer for a fee, in accordance with our Terms and Conditions located at https://vydia.com/terms-and-conditions/. For example, we may offer a paid storage plan. To process payments for such Services, we rely on a third party service provider (such as Braintree, PayPal or Tipalti) (“Payment Processors”). When you make a payment, the payment information is transmitted directly to the Payment Processor, and we do not have access to it, and take no responsibility for it.

Our Payment Processor will provide to us the Registered User’s name, mailing address, phone number, email address (if PayPal is used to process the payment), card type (i.e., Visa, Amex, etc.) and the credit card’s last four digits so we can comply with applicable legal obligations to “know our client” (sometimes referred to as “KYC”) and other legal obligations that apply to us.

To Receive Payments

If you are a Registered User and have signed up for our monetization services (pursuant to a separate mutually agreed content license agreement signed by you and us), you may earn a share of revenue from monetization of your content on Third Party Platforms. We issue applicable payments using our Payment Processors.

In this case, our Payment Processor will provide to us the Registered User’s name, mailing address, phone number, email address (if PayPal is used to process the payment), and tax information (such as a W9), so we can comply with our obligations to pay you, applicable legal obligations to “know our client” (sometimes referred to as “KYC”), withhold any applicable taxes (e.g., depending on the country of residency of the Registered User) and other legal obligations that apply to us.

If a Registered User decides to terminate his/her/ its Vydia account and cease using the Services, we will keep records of payments we receive from or make to such Registered User, in order to comply with our legal obligations.

F – Communication from Registered Users

When a Registered User contacts us, by email, phone or text, we automatically collect and store certain information about that user and the user’s activities, as we receive from such user, for example:

  • The Registered User’s name and contact information;
  • Information that the Registered User provides to us;
  • The Registered User’s company information, if any;
  • The nature of the communication;
  • The purpose of the interaction, and the action we took in response to the inquiry or request;
  • Any action the Registered User takes upon receipt of such communication (for example, whether the Registered User request to receive documentation).

The information collected in connection with each type of interaction is retained so that we can continue interaction with the requestor with respect to our Website or Services.

G – Communications with Registered Users

Unless we are prohibited by applicable law from using cookies and similar technologies, and a Registered User has not otherwise consented to their use, when we send an email message to a Registered User, our message contains images or links that when viewed or clicked, allow us to know whether the message has been accessed, deleted, or ignored. This information helps us understand how the individual reacts to our communications and limit the amount and nature of information provided.

H – Publicly Available Data

We collect information from publicly available directories, and information that has been made available about an individual on other publicly available databases, such as information about a person’s interests.

I – Other information

Certain areas of the Website or Service include free text fields, where you can write messages to other users, or post content that may contain personal data. We request that you do not disclose:

  • Any data revealing your racial or ethnic origin, political opinions, religious or philosophical beliefs, or trade union membership, genetic data, biometric data or data concerning your health, sex life or sexual orientation;
  • Any social security number, national Identification number, financial account information or any other information that might be deemed highly sensitive or confidential;
  • Any data related to other persons.

3. Links to Third Party Platforms

If you are a Registered User, the Services enable you to link your Vydia account to, and the ability to log into and access, your account on Third Party Platforms, in order to facilitate: (i) synchronizing of your content between your Vydia account and Third Party Platforms, (ii) management of such content on such Third Party Platforms and (iii) monetization of your content on Third Party Platforms.

Your use of these Third Party Platforms may result in the collection or sharing of information about you by these Third Party Platforms. We encourage you to review the privacy policies and settings on the Third Party Platforms with which you interact and share content, information, and other materials, to make sure you understand the information that may be collected, used, and shared by those Third Party Platforms.

When you link your Third Party Platform with your Vydia account, we receive information about you from the Third Party Platform. The information provided may include – but is not necessarily limited to – the following.

The amount of information that we receive depends on the setting that you have chosen for the sharing of information stored on that Third Party Platform. Please verify your settings on that Third Party Platform.

    • Video file’s associated metrics (i.e. Impressions, Views, Comments, Taps Back, Taps Forward, Exits, Etc.)
    • Your Page Titles, Your Profile pictures, Video Thumbnails (*We do not collect any of your friends’ data)
    • Title of content
    • Producers
    • Writers
    • Description of content
    • Any other text you submitted to the Third Party Platform in connection with the content (e.g., in a text field)
  • How many people you follow and how many people follow you

4. Links to Digital Service Providers and Other Third Parties

A – Digital Service Providers

Registered Users may request (as part of the Services) that we deliver their content to our third party media partners and service providers (e.g., Spotify) (“Digital Service Providers”). We collect information from such Digital Service Providers about plays of your content on Digital Service Providers’ respective services.

We collect all information in each statement provided to us by each Digital Service Provider. We retain in our database the following information:

  • Stream-count
  • Revenue
  • Region/country
  • Device/source
  • Per stream revenue (i.e. revenue / stream-count)

B – Google and YouTube

The Service relies in part on applications and services provided by Google and YouTube, and use the YouTube API Services. Use of the YouTube API Service is subject to the You Tube Terms of Service, available at: https://www.youtube.com/t/terms and the Google Privacy Policy available at: http://www.google.com/policies/privacy. In addition, you can revoke the YouTube API access to your data using the Google Security Settings instructions located at: https://security.google.com/settings/security/permissions

C – Spotify

The Service relies in part on applications and services provided by Spotify, and uses the Spotify API. 5. How We Use the Information We Collect

A – Information Collected from Visitors & Registered Users

We use the information we gather through the Website and the Services to help us operate the Website and the Service and better understand how the Website and the Services are being used, as follows:

  • To allow individuals to create and maintain a Registered User account, verify a user’s identity and assist a user if he/she misplaces or forgets his/her login or password;
  • To respond to Visitors and Registered Users’ inquiries, allow them to request white papers, or other information;
  • To finalize purchase orders and deliver the Services to the Visitor or Registered User;
  • To carry out market research and surveys;
  • For interaction on social media;
  • For analyzing and improving the Services;

Marketing

  • For communicating with Visitors and Registered Users regarding the Services;
  • For marketing and promoting the Services;

To Combat Misuse, Fraud and Attend to our Legal Obligations

  • Protecting the Services, your rights, and the rights of others;
  • Enforcing the terms and conditions applicable to the Website and the Services;
  • Preventing potential or actual prohibited or illegal activities, and enforcing any agreement(s) Visitors and Registered Users may have with us;
  • Complying with our obligations, including any and all applicable laws and/or regulations;
  • Contacting and communicating with Visitors and Registered Users when they have inquiries.

If you are a Visitor or Registered User, and you have previously provided your email to us seeking such information, we may email you about products and services that we believe may be of interest to you. If you wish to opt-out of receiving these emails from us, please follow the instructions contained in each email you receive from us which will allow you to opt-out of receiving further email marketing communications from us.

Profiling

  • To create a profile of an individual through the use of cookies and by collecting and analyzing information on the user’s interest in order to serve to each information and advertisements that may be relevant to that user. All algorithms involved in this processing are regularly tested, to ensure the processing’s fairness and control for bias;

Analytics

  • For development and administration of the Website and Services, to improve our offerings and troubleshoot any technical issues that may arise in connection with the use of the Website or Services.

B – Information Collected from Registered Users

We use the information we gather through the Website and the Services to help us operate the Website and the Service and better understand how the Website and the Services are being used, as follows:

  • Operating and offering the Services to Registered Users;
  • Ensuring technical functionality and delivery of the Services to Registered Users;
  • Determining Registered Users’ eligibility for a particular Service that we offer;
  • Sharing metadata and other information regarding the content Registered Users post through the Services with Third Party Platforms and Digital Service Providers to provide and optimize the Services;
  • Displaying, collecting, and analyzing relevant metrics of Registered Users’ content and user-generated content that incorporates Registered Users’ content, including:
    • Data on plays of such content on applicable Third Party Platforms and Digital Service Providers, including metrics related to locations where such content is popular, the use and distribution of your content by the public;
    • Revenue generated by such Third Party Platforms and Digital Service Providers (if any);
    • Demographics of Third Party Platforms’ and Digital Service Providers’ end users who listen or view Registered Users’ content;
  • Verifying Registered Users’ identity (including by confirming that a Registered User is logging into his or her Vydia account from a location where he or she typically logs in from);
  • Taking payments from or making payments to Registered Users, either directly or via a Payment Processor.

Marketing

  • To interact with Registered Users by sending marketing communications regarding products and services that are identical or similar to those the Registered User has previously purchased or requested

Profiling

  • To create a profile of a Registered User, through the use of cookies and by collecting and analyzing information on the Registered User’s interest in order to serve to each information and advertisements that may be relevant to that user. All algorithms involved in this processing are regularly tested, to ensure the processing’s fairness and control for bias;

Analytics

  • For development and administration of the Website and the Services, in order to improve our offering and troubleshoot any technical issues which may arise in connection with the use of the Website or Service

Misuse or Fraud

  • To prevent and detect any misuse of the Services, or any fraudulent activities carried out through the restricted areas of the Service.

6. Legal Basis for the Processing

The grounds on which we rely to process personal information of Visitors and Registered Users, according to the purposes identified include the following:

7. How We Share Your Information with Third Parties

Vydia shares your information with third parties in some circumstances as follows:

A – Third-Party Processors and Third-Party Service Providers.

We will disclose your information to our contractors, affiliates, distributors (such as Digital Service Providers and Third Party Platforms), dealers, vendors, and suppliers (“Service Providers”) who provide certain services to us or on our behalf, such as operating and supporting the Website and the Services, analyzing data, or performing marketing or consulting services. These Service Providers will only have access to the information needed to perform these limited functions on our behalf.

B – Response to Subpoenas or Court Orders or to Protect Rights and to Comply with Our Policies.

To the extent permitted by law, we will disclose your information to government authorities or third parties if: (i) required to do so by law, or in response to a subpoena or court order; (ii) we believe in our sole discretion that disclosure is reasonably necessary to protect against fraud, to protect the property or other rights of us or other users, third parties or the public at large; or (iii) we believe that you have abused the Website or the Services by using it to attack other systems or to gain unauthorized access to any other system, to engage in spamming or otherwise to violate applicable laws. You should be aware that, following disclosure to any third party, your information may be accessible by others to the extent permitted or required by applicable law.

C – Business Transfers; Bankruptcy.

In the event of a merger, acquisition, corporate reorganization, bankruptcy or other sale of all or a portion of our assets, any user information owned or controlled by us may be one of the assets transferred to third parties. We reserve the right, as part of this type of transaction, to transfer or assign your information and other information we have collected from users of the Website or the Services to third parties. Other than to the extent ordered by a bankruptcy or other court, the use and disclosure of all transferred user information will be subject to this Privacy Policy. However, any information you submit or that is collected after this type of transfer may be subject to a new privacy policy adopted by the successor entity.

D – Aggregate Information.

We may share information relating to users of the Website or the Services with affiliated or unaffiliated third parties on an anonymous, aggregate basis. While this information will not identify you personally, in some instances these third parties may be able to combine this aggregate information with other data they have about you, or that they receive from third parties, in a manner that allows them to identify you personally.

E – Our Affiliates.

We may share some or all of your information with our parent company, subsidiaries, and corporate affiliates, joint venturers, or other companies under common control with us. We may permit these entities to use your information for their own marketing purposes.

F – Third Party Marketing Partners.

We may, from time to time, share the information you provide to us with selected third party marketing partners that we believe offer products or services that may be of interest to you.

In countries where such activities do not require prior explicit consent, we may provide personal information of individuals to third party marketing companies, affiliates, advertising agencies, and data aggregation companies. These partner firms use this information to provide individuals with information on products and services that may be of interest.

In countries, such as in the European Economic Area, where such activities are restricted, we conduct these activities in accordance with applicable local laws.

G – Third Party Media Partners.

If you are a Registered User and elect to sign up for the distribution services feature of the Services, we may provide our third party media partners with access to your information so that they can review your content through the Vydia publisher dashboard on the Services. These third party media partners will only have access to your information through the Services for purposes of evaluating your content and determining whether to publish your content.

H – Infringement Notices.

We may share your information with third parties if you provide us with an infringement notification in accordance with the process set forth in our Terms and Conditions located at https://vydia.com/terms-and-conditions/ in order to investigate and address the potential infringement.

8. Retention of Personal Data
